Corporate procedures and transactions: documents, negotiations, and advice on company governance.

• Preparing and running corporate procedures (meetings, resolutions, minutes)
• Supporting M&A: due diligence, deal structure and document packs
• Drafting and negotiating corporate and shareholder documents
• Advising clients on governance and corporate control
• Working with registrars, banks and counterparties on the deal
• Maintaining corporate files and tracking key deadlines

• Law degree
• At least 2 years in corporate or related practice
• Knowledge of corporate law and how it is applied in practice
• Ability to draft complex documents and juggle several projects
• Precise drafting and comfort aligning party positions

• Corporate and transaction work for business clients
• A team of experienced practice lawyers
• Hybrid format: Irkutsk office with remote days by agreement
